Is the transmission or the clutch? Any suggestions on what might fix the problem?
Riding in 5th gear and dropped down to 1st gear. When that happened I pushed down the shifter to disengage the engine so the rpm's wouldn't redline. Then we rocked it back and forth until it went into neutral. It will start and the engine sounds fine, but it will not go into any gear. When trying to shift into a gear the shifter will not go up or down. I don't believe the problem is the shifter.

That's unfortionate. That is about the only answer you could have given me that doesn't leave a cut and dried answer. It means "exploratory surgery". I would kind of suspect a shift fork (transmission, not shifter), but I can't say for sure. There are other things it <might> be.
The shifter goes into the engine (transmission) case at the rear, but immediately is redirected to another shaft that heads straight up front, just under the front cover. That's what will tell you just how severe the issue is. With that removed, you'll be able to use a finger to "dislodge" the shift plate, such that the shifter moves (or could move) without rotating the shift drum. This will determine what is "stuck".
If you care to go in yourself, and you're a little bit mechanically inclined, I can help you out with the front cover part. The shifter is (relatively) simple. If it is not the shifter however, you'll be splitting the cases to access the transmission. I don't believe I could accurately pass that on by means of this forum. For that, I would strongly recommend a Honda service manual. (I still can answer questions, I just don't believe I could "write out" the whole job" with enough clarity to prevent misunderstandings and oversights). If you're not really sure about these things, the manual will be the best money you ever spent. It has great directions, OK pictures (which get better once you're looking at the real thing), and without even getting dirty, it can give you a good insight as to what you do or do not want to tackle yourself.
